The Retail Partner Program lets a physical retail store earn a 30% commission for sending customers to us. You display our sample terrain in your store, hand customers your unique referral link or code, and when they place an order with us online using it, you earn 30% of the product value (excluding GST and shipping). We print, sell and ship every order — you never hold stock, handle the designs, or take on any risk. Commissions are tracked automatically through our affiliate platform (GOAFFPRO) and paid monthly. As a Partner, you also get 30% off Pandem terrain for your own store and gaming use — for your own use, not for resale. The sample kit we send you stays our property and comes back if you leave the program. This summary is for convenience only; the numbered terms below are the binding agreement.
1.1. The Pandem Wargaming Retail Partner Program (the "Program") allows approved physical retail businesses (each a "Partner", "you", "your") to refer customers to Pandem's online store and earn a commission on qualifying sales.
1.2. These Terms & Conditions (the "Terms") form a binding agreement between Pandem and the Partner. By applying to, enrolling in, or participating in the Program, you agree to these Terms.
1.3. The Program is operated through the GOAFFPRO affiliate platform (the "Platform"). Your use of the Platform is also subject to GOAFFPRO's own terms of service.
3.1. To be eligible, you must:
(a) operate a genuine physical retail business (for example, a tabletop gaming, hobby or games store) with a customer-facing premises;
(b) hold a valid Australian Business Number (ABN), or the equivalent registration in your jurisdiction;
(c) be able to lawfully enter into this agreement; and
(d) provide accurate business and contact details on enrolment.
3.2. Approval is at Pandem's sole discretion. We may decline any application, and we may set additional conditions for particular Partners. Enrolment in the Program is not a right and does not create any exclusivity or territory unless we agree otherwise in writing.
4.1. You enrol by registering through the Platform and being approved by Pandem.
4.2. On approval, you will be issued a Partner Code and/or Partner Link. You are responsible for keeping your Platform account details secure and for all activity under your account.
5.1. You refer, we sell. You promote Pandem's products to your customers — for example by displaying the Sample Kit and providing your Partner Code or Partner Link. When a customer places an order on the Pandem online store using your Partner Code or Partner Link, the sale is attributed to you through the Platform.
5.2. Pandem is the seller. For every order, Pandem is the seller and the manufacturer of the products. Pandem sets all retail prices, produces (3D prints) the products, processes payment, fulfils and ships the order, and is responsible for customer service, returns, refunds and consumer-law obligations. The customer contracts with Pandem, not with you.
5.3. No customer discount by default. Unless we notify you otherwise, a Partner Code or Partner Link is a tracking mechanism only and does not reduce the price paid by the customer. Pandem may, at its discretion, choose to attach a customer-facing discount to a Partner Code; if it does, the Commission is calculated on the discounted Product Value.
5.4. Attribution. Sales are attributed according to the Platform's tracking rules. Where an order could be attributed to more than one source, the Platform's last-click / code-priority rules determine attribution. Pandem's records and the Platform's records are the final authority on whether a sale qualifies and to whom it is attributed.
6.1. Rate. The Commission is 30% of the Product Value of each Qualifying Sale.
6.2. Basis. The Product Value is calculated exclusive of GST and excludes shipping charges, other taxes, gift-card amounts, and any discounts applied to the order. Commission is not payable on shipping or on any amount that is not Product Value.
6.3. When Commission is earned. Commission is recorded as pending when a Qualifying Sale is placed and becomes payable only after the order has been paid in full and the qualifying period in clause 6.4 has passed without reversal.
6.4. Reversals. If an order is cancelled, refunded (in whole or in part), charged back, or found to be fraudulent or wrongly attributed within 30 days of dispatch, the corresponding Commission is void or reduced accordingly. If Commission has already been paid, we may deduct the amount from future Commission or invoice it for repayment.
6.5. No commission on your own purchases. You may not earn Commission on orders you place for your own business or personal use, or on orders that are not genuine third-party customer referrals (see clause 13).
7.1. Cadence. Commission that has become payable is paid monthly in arrears, for the preceding calendar month, subject to the minimum payout threshold in clause 7.3.
7.2. Method. Commission is paid by the method agreed at enrolment through the Platform — for example PayPal, store credit, or bank transfer (where bank transfer is used, payment is made outside the Platform and marked as paid). You are responsible for providing accurate payment details.
7.3. Minimum threshold. A minimum balance of AUD $50 must be reached before a payout is made. Balances below the threshold roll over to the following month.
7.4. GST. Commission amounts are stated exclusive of GST. If you are registered for GST, GST is payable in addition to the Commission. Where you are GST-registered, you and Pandem may agree that Pandem issues a Recipient Created Tax Invoice (RCTI) for the Commission; by participating you agree to enter into an RCTI arrangement if requested, and you confirm you will notify us if you cease to be registered for GST.
7.5. Your taxes. You are responsible for your own tax obligations arising from Commission you receive. Pandem does not withhold tax on your behalf.
8.1. Pandem may supply you with a Sample Kit to display in your store, free of charge and on loan.
8.2. The Sample Kit remains the property of Pandem at all times. It is provided to help you promote the Program and is not for sale, resale, hire, or transfer.
8.3. You must take reasonable care of the Sample Kit, display it appropriately, and keep intact any Creator logos, marks or credit labelling attached to it (see clause 11).
8.4. On termination of your participation for any reason, you must return the Sample Kit to Pandem in reasonable condition (fair wear and tear excepted) within 14 days, or pay Pandem's reasonable replacement cost if it is not returned. Pandem may request the return of the Sample Kit at any time.
9.1. What it is. As a Partner, you receive a 30% discount on Pandem products bought for your own use — for example, terrain for your store's demonstration and in-store gaming tables, club or personal gaming, and running events or tournaments.
9.2. How it works. The Partner Discount is provided as a discount code linked to the email address you use to enrol in the Program, and applies to orders you place through the Pandem online store using that code.
9.3. Own use only — not for resale. Products bought with the Partner Discount are for your own use and must not be resold, on-sold, offered for sale, or held out as your own stock. This mirrors your obligations in clause 10 and protects the licences under which Pandem prints (see clause 11).
9.4. Not combined with Commission. You do not earn Commission on your own purchases, and the Partner Discount cannot be combined with Commission on the same order (see clause 13).
9.5. Changes. Pandem may vary, limit, or withdraw the Partner Discount or its rate at any time on reasonable notice (see clause 16).
10.1. You must:
(a) present Pandem's products honestly and accurately, and not make any false, misleading or exaggerated claims about the products, their materials, or their performance;
(b) comply with all applicable laws, including the Australian Consumer Law and the Spam Act 2003 (Cth), in how you promote the Program;
(c) only use marketing images, descriptions and brand assets that Pandem has supplied or approved, and use them solely to promote referrals under this Program;
(d) make clear to customers that products are made-to-order 3D prints produced and sold by Pandem; and
(e) conduct yourself in a way that does not damage the reputation of Pandem or the Creators.
10.2. You must not:
(a) present yourself as Pandem, or as an agent, employee, or representative of Pandem, or enter into any commitment on Pandem's behalf;
(b) use paid search or social advertising that bids on, or misuses, Pandem's or the Creators' brand names or trade marks, or register domain names or social handles using those names, without Pandem's written consent;
(c) offer, promise or advertise discounts, rebates, or incentives on Pandem products beyond those Pandem has authorised;
(d) distribute your Partner Code or Partner Link through spam, coupon-aggregator sites, cashback sites, or any channel Pandem notifies you is not permitted; or
(e) sell, or offer to sell, Pandem products yourself, or hold Pandem products out as your own stock (your role is limited to referring customers to Pandem — see clause 11).
11.1. Designs are licensed IP. Pandem prints its products under commercial licences from independent Creators. All designs, digital files, images, trade marks and other intellectual property associated with the products remain the property of Pandem and/or the Creators.
11.2. You receive no licence to reproduce. Nothing in the Program grants you any right to print, manufacture, copy, reproduce, cast, mould, modify, or otherwise produce any Pandem or Creator product or design. You will not be given, and must not seek to obtain, copy, or share, any design files.
11.3. Creator credit. You must retain and display any Creator credit and any logos or marks that appear on the Sample Kit or on Pandem's supplied materials, and must not remove, obscure or alter them. Where you promote a specific product, you must credit the relevant Creator if Pandem asks you to (for example, crediting "Fabricator's Lair" for that project's terrain).
11.4. Brand assets. Any use of Pandem's or the Creators' names, logos or images is limited to the marketing materials Pandem supplies or approves, for the purpose of promoting referrals under this Program only. All such rights end when your participation ends.
11.5. This clause survives termination of your participation.
12.1. You are an independent business participating in a referral program. Nothing in these Terms creates any employment, agency, partnership, joint venture, or franchise relationship between you and Pandem.
12.2. You have no authority to bind Pandem or to act on its behalf, and you bear your own costs of participating in the Program.
13.1. You must not engage in any fraudulent, deceptive, or manipulative conduct, including: generating fake or self-referred orders; using your own Partner Code or Partner Link for your own purchases; misrepresenting the source of a referral; interfering with the Platform's tracking; misusing the Partner Discount (including using it to buy for resale); or any conduct designed to earn Commission or obtain a discount that is not for a genuine third-party customer sale or genuine own use.
13.2. If Pandem reasonably suspects prohibited conduct, it may withhold or reverse affected Commission, cancel or suspend the Partner Discount, suspend your account pending investigation, and/or terminate your participation immediately.
14.1. Any non-public information Pandem shares with you about the Program (including commission arrangements, pricing, and business plans) is confidential and must not be disclosed to third parties or used for any purpose other than participating in the Program.
15.1. Participation continues until terminated.
15.2. Either party may terminate participation at any time, for any reason, on written notice (including by email).
15.3. Pandem may suspend or terminate immediately if you breach these Terms, engage in prohibited conduct, or if a Creator licence relevant to the products is revoked or changed such that the Program can no longer operate.
15.4. On termination:
(a) you must stop using all Partner Codes, Partner Links, the Partner Discount, brand assets and marketing materials, and stop holding yourself out as a Partner;
(b) you must return the Sample Kit under clause 8.4; and
(c) Pandem will pay any Commission that has properly become payable up to the date of termination, subject to clauses 6.4 and 13; Commission that has not yet qualified is forfeited.
16.1. Pandem may change these Terms, the Commission rate, the Partner Discount, the Program mechanics, or discontinue the Program, at any time. We will give reasonable notice of material changes (including by email or by posting updated Terms). Changes do not affect Commission already properly earned before the change takes effect. Your continued participation after a change takes effect is acceptance of the updated Terms.
17.1. The Program is provided on an "as is" basis. To the maximum extent permitted by law, Pandem excludes all warranties not expressly stated in these Terms.
17.2. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law or other law that cannot lawfully be excluded.
17.3. To the maximum extent permitted by law, Pandem's total liability to you arising out of or in connection with the Program is limited to the total Commission paid or payable to you in the 3 months before the event giving rise to the liability. Pandem is not liable for any indirect, incidental or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings.
18.1. You indemnify Pandem against any loss, damage, cost or claim arising from your breach of these Terms, your negligence or wrongful conduct, your misuse of Pandem's or the Creators' intellectual property, or any misrepresentation you make to a customer.
19.1. Assignment. You may not assign or transfer your participation without Pandem's written consent. Pandem may assign these Terms.
19.2. Waiver. A failure to enforce a term is not a waiver of it.
19.3. Severability. If any term is found to be unenforceable, the remaining terms continue in force.
19.4. Entire agreement. These Terms (together with any written conditions Pandem sets for you and the Platform's terms) are the entire agreement between the parties about the Program.
19.5. Notices. Notices may be given by email to the addresses on record.
20.1. These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that place.
